CONSTITUTION

Collingwood Football Club Limited is a public company limited by guarantee, registered under the Corporations Act. The Constitution is a legally binding agreement between the Club and its Members that sets out the rules related to corporate governance, business activities, the election of Directors and the rights and obligations of Members.

DIRECTOR NOMINATIONS

The Collingwood Football Club (CFC) is a complex organisation with annual turnover and total assets both exceeding $90m, 112,000+ members and various other key stakeholders and interested parties.

It is the Board’s role to maintain a robust system of governance, ensuring accountability, integrity and long-term sustainability.  The Board does not involve itself in football matters such as team selection and list management.

The governance duties and commitments on CFC directors are extensive, including, but not limited to:

  • monthly board meetings, board sub-committee meetings
  • assistance with key club strategic projects and initiatives
  • attendance at CFC AFL, AFLW, VFL and VFLW home and away games
  • engagement with key internal and external stakeholders, members and supporters
  • attendance at various Club and community events, and
  • ongoing advocacy of CFC interests with relevant government and industry relationships.

CFC directors receive no remuneration for their services to the Club; however, it should be understood they retain the same liability and risks as all directors under the Corporations Act.

The CFC Director Nominations Committee exists to ensure the Club has a high functioning board with an effective capability, composition, diversity and commitment to discharge its duties and responsibilities and promote the Club’s purpose and values.

Eligible members can nominate for a position on the CFC board when director vacancies arise.

The operation of the Committee aligns with best practice corporate governance for a member-based organisation.  In evaluating potential board candidates, the Committee will identify, consider, assess and recommend candidates for nomination using a board skills matrix to align the board’s composition to the Club’s strategy and industry requirements.

Collingwood’s Director Nomination Committee operates, as per the Club’s Constitution, as a permanent sub-committee of the Board.

Gaye Morris (Chair)

  • Current CFC Director (1 year)
  • B Ed, Grad Dip HR, GAICD
  • Human Resources expert
  • 30 years+ corporate career including C-Suite, general management and global roles.  Currently a Partner at Mercer.
  • NED, NFP and charitable foundation experience

    Renee Roberts
  • Current CFC Director (4 years)
  •  B Ec & Mktg, Masters Applied Finance, GAICD
  • Financial services expert with operations and tech experience.
  • 30 years+ corporate career including C-Suite and global roles at Bank NZ, QBE and currently Chief Risk Officer at Judo Bank
  • Former Executive Director Banking at APRA
  • NED experience

    Jodie Sizer
  • Current CFC Director (8 years including 4 years as VP)
  • B Com, CPA
  • A Djab Wurrung, Gunditjmara woman, one of Australia’s foremost Indigenous leaders and an inductee Victorian Honour Roll of Women
  • Former Partner PWC, Former CEO Great Ocean Road Parks and Coast Authority
  • NED experience

    Bryan Dorman
  • B Bus (Acct)
  • 40 years+ experience across manufacturing, property, development, business services, asset investment and aged care
  • Founder, former CEO and Chairman of Regis Health Care (ASX: REG)
  • Former National President of aged care peak body
  • NED experience

    Geoff Culbert
  • B Ec & Law (Honours)
  • Extensive commercial background in global and domestic markets including extensive government experience
  • Significant CEO experience including former CEO GE A&NZ and CEO Sydney Airport
  • Current Chair Business Council Australia and Chair NSW Fundraising Committee for Australian Olympic Committee
  • NED experience

ELECTIONS

The Club may conduct an election for one or more Directors by ballot in accordance with any relevant By-Laws.
